Terms of Use

These Terms of Use ("Terms") govern your access to and use of www.skygenic.com and the Skygenic Platform ("Services"), operated by Skygenic Inc. ("Skygenic," "we," "us," or "Company"). By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and the SRL Governance Framework, each incorporated herein by reference. The SRL Governance Framework defines the operational, technical, and epistemic rules of the Scientific Reasoning Layer and sets out what users can and cannot expect from the Platform. In the event of conflict, these Terms shall prevail.

1. Acceptance of Terms

By accessing or using the Services, you represent and warrant that: (i) you have read, understood, and agree to these Terms; (ii) you are of legal age and capacity to form a binding contract; and (iii) if acting on behalf of an organisation, you are authorised to bind that organisation. If you do not agree, you must not access or use the Services.

Where you access the Services under a separate Services Agreement, that agreement shall govern, and in the event of conflict between the Services Agreement and these Terms, the Services Agreement shall take precedence.

2. Definitions and Scope

"Platform": Skygenic systems, including SRL, AI models, scan engines, and analytical outputs.

"SRL": The Scientific Reasoning Layer network inference system, as defined in the SRL Governance Framework.

"Scientific Signals": Aggregated outputs including convergence, contradiction, confidence, and gap metrics.

"Outputs": Reports, scores, classifications, and derived analyses generated by the Platform.

"Submitted Data": Genomic data, hypotheses, datasets, experimental results, and other scientific inputs submitted by users.

"Report-Only Access": Access to Outputs without interactive SRL functionality.

3. Scope of Access

3.1 Platform Access (Interactive Use)

Platform Access permits users to submit hypotheses, datasets, and scientific queries; interact with SRL inference systems; execute scan engines; and generate Outputs. Platform Access is strictly limited to internal scientific research and evaluation purposes only.

3.2 Report-Only Access

Report recipients receive aggregated Outputs only, without SRL access or system architecture. Report Outputs may be used solely for internal scientific review and research evaluation. Recipients may not reverse engineer Outputs, infer system logic, or replicate SRL functionality.

3.3 No Rights Granted

No rights are granted except as expressly stated. Users receive no rights to SRL architecture, models, scan systems, network graph structure, or inference methodologies.

4. Research-Only Use; Non-Clinical Boundary

The Platform is intended exclusively for scientific research, educational use, and internal analytical evaluation. The Platform must not be used for clinical diagnosis or treatment, medical decision-making, regulatory submissions, or patient care. Users are solely responsible for interpretation, validation, experimental design, and downstream application of Outputs.

4.1 Output Classification Disclaimer

All Outputs are probabilistic, network-derived scientific signals. They are not facts, validated conclusions, certified scientific results, or regulatory-grade evidence. See the SRL Governance Framework for a full description of the epistemic status of SRL Outputs and the specific limitations of each scan type.

4.2 No Reliance

Users agree not to rely on Outputs as the sole basis for scientific conclusions, regulatory filings, clinical decisions, or commercial determinations. Independent validation is required.

5. AI Systems and Network Inference

The Platform uses deterministic scan systems, probabilistic AI models, semantic agent-based inference, and network science graph-based reasoning. SRL represents knowledge as nodes, edges, and emergent network structure. Outputs reflect structural inference rather than factual determination. 5.1 EU AI Act Transparency Disclosure

The Platform involves automated processing of scientific data including statistical inference, graph-based modelling, and semantic analysis. Outputs may be incomplete, uncertain, or biased and require human expert interpretation. No Output is intended to produce legal or similarly significant effects without human oversight.

6. User Accounts and Access Control

Users must provide accurate information, maintain credential confidentiality, and must not share access credentials. You agree to notify us immediately of any unauthorised access to your account. Skygenic may restrict access by jurisdiction, institution, or role; require identity verification; and suspend or terminate access for compliance reasons or any other reason at its discretion.

7. User Contributions and Submitted Data

7.1 Nature of Contributions

Users may submit hypotheses, datasets, experimental interpretations, and analytical queries. All contributions are treated as scientific signals within a network inference system and not as validated truth.

7.2 License to Process

Users grant Skygenic a limited, non-exclusive licence to process and analyse submissions, generate Network Signals, and integrate contributions into SRL graph structure for Platform operation and improvement.

7.3 No Attribution in Outputs

User contributions are non-attributable in Outputs, are not identifiable in SRL-derived results, and exist only in aggregated form.

7.4 Common Knowledge Threshold (CKT)

Data may enter shared SRL structure only when independently supported across multiple organisations or validated by public scientific sources. Single-source repetition does not qualify. See the SRL Governance Framework for full CKT rules.

7.5 Scientific Responsibility

Users retain sole responsibility for scientific interpretation, validation, experimental design, publication decisions, and downstream application of Outputs. Skygenic assumes no responsibility for downstream scientific use.

7.6 Interactive Features and User Contributions Generally

The Services may contain interactive features including message boards and forums. Content posted to public areas is considered non-confidential and non-proprietary. By posting User Contributions, you grant Skygenic the right to use, reproduce, modify, distribute, and disclose such contributions as reasonably necessary to operate the Services.

8. Prohibited Uses

Users shall not:

  • Use the Platform for clinical diagnosis, patient care, or safety-critical applications.
  • Reverse engineer, decompile, or reconstruct SRL systems, network graphs, or inference logic.
  • Submit unlawful, unauthorised, or infringing data.
  • Upload personal data without a valid legal basis.
  • Introduce malicious code, viruses, or technologically harmful material.
  • Attempt unauthorised access to any part of the Services or related infrastructure.
  • Use automated scripts, bots, or scrapers to access the Services without prior written consent.
  • Impersonate Skygenic, its employees, another user, or any other person or entity.
  • Engage in any conduct that restricts or inhibits others' use of the Services.
  • Use the Services in any manner that could disable, overburden, or impair the Platform.

8.1 Strict Third-Party Restriction

Users may not provide services to third parties using the Platform, perform consulting or contract research using Outputs, embed Outputs into commercial offerings, or resell or sublicense Outputs. Platform use is strictly limited to internal organisational or personal research use only.

8.2 Epistemic Misrepresentation Prohibition

Users may not represent Outputs as scientifically proven findings, peer-reviewed results, clinically validated evidence, or regulatory-grade conclusions.

8.3 Content Standards

All user submissions must comply with applicable law and must not contain defamatory, obscene, harassing, or infringing material; must not promote illegal activity; must not invade the privacy of any person; and must not give the false impression of endorsement by Skygenic.

9. Subscriptions, Payments, and Fees

9.1 Fees and Payment

Services may be offered free or for a fee. Skygenic reserves the right to change its fee structure at any time. Where Services are offered for a fee, payment may be made via: (i) authorised third-party payment processors (such as Stripe, Inc. or similar services, subject to their respective terms and privacy policies); (ii) invoice; or (iii) bank direct deposit, as specified by Skygenic. You agree to pay all applicable fees plus taxes as they become due.

9.2 Billing

All payment and billing information is subject to our Privacy Policy. By submitting payment information, you authorise Skygenic to store and process it with designated payment processor(s). Skygenic is not responsible for failures of third-party payment processors to protect such information. You are responsible for ensuring timely payment and maintaining a valid payment method.

9.3 Post-Termination Fees

You agree to pay any fees that accrue after termination, including fees for hosting, transitioning, or deleting Submitted Data.

10. Intellectual Property

All Platform components, including SRL architecture, models, algorithms, scan systems (including the 70-scan framework), software, and infrastructure, are the exclusive property of Skygenic or its licensors and are protected by United States and international intellectual property laws. Users may not replicate SRL functionality, derive competing systems, or extract system logic from Outputs.

The Skygenic name, logo, and all related trademarks and service marks are the property of Skygenic Inc. or its affiliates. You must not use such marks without prior written permission.

11. Monitoring, Enforcement, and Termination

Skygenic may monitor system usage, detect anomalous behaviour, and restrict or terminate access. Skygenic may remove or refuse to post any user content, take appropriate action with respect to any violation, disclose user identity to authorised authorities where required, and refer violations to law enforcement. Skygenic may terminate access at any time, with or without cause or notice. Upon termination, access ceases immediately. Aggregated SRL Network Signals may be retained after termination. No refund of previously paid amounts is obligated upon termination.

12. Protected Health Information and HIPAA

You agree not to submit Protected Health Information (PHI) without a valid Business Associate Agreement (BAA) in place. The standard BAA is available on the website and is deemed accepted upon account creation unless a custom BAA has been separately executed. Inquiries: legal@skygenic.com.

13. Data Processing and Privacy

Use of the Platform is governed by the Privacy Policy. Users acknowledge that data is processed within SRL network inference systems; de-identified data may be used for system improvement; and private inputs may influence aggregated Network Signals. SRL Outputs represent network-derived scientific signals and do not represent scientific truth.

14. Third-Party Links and Services

The Services may contain links to third-party websites and resources provided for convenience only. Skygenic has no control over such sites and accepts no responsibility for them or for any loss arising from their use. The Services are hosted on Google Cloud Platform (GCP), provided by Google LLC. Additional information about GCP security is available at cloud.google.com. Skygenic is not responsible for loss or damage resulting from GCP infrastructure.

15. Copyright Infringement (DMCA)

Notices of copyright infringement claims should be sent to legal@skygenic.com with: (i) a description of the copyrighted work; (ii) identification of the infringing material; (iii) your contact information; (iv) a good faith statement; and (v) a statement under penalty of perjury that you are the copyright owner or authorised agent. It is Skygenic's policy to terminate accounts of repeat infringers.

16. Accessibility

Skygenic is committed to making the Services accessible. We strive to comply with applicable accessibility standards including WCAG 2.1 guidelines where feasible. If you encounter accessibility barriers, contact info@skygenic.com.

17. U.S. Government and Export Controls

You may not export or re-export the Services in violation of U.S. Department of Commerce, U.S. Department of Treasury (OFAC), or any other applicable export control laws. The Services may not be used by nationals or residents of embargoed countries or persons on the U.S. Specially Designated Nationals list or Table of Denial Orders. Use of the Services is your representation that you are not subject to any such restriction.

18. Disclaimer of Warranties

THE SERVICES ARE SOLELY FOR RESEARCH AND EDUCATIONAL USE, NOT FOR CLINICAL DIAGNOSIS OR TREATMENT. THE SERVICES AND THEIR CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL WARRANTIES ARE DISCLAIMED.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SKYGENIC, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. SKYGENIC'S TOTAL LIABILITY TO YOU FOR ANY CAUSE OF ACTION SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO SKYGENIC IN THE PRIOR TWELVE (12) MONTHS OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

20. Indemnification

You agree to defend, indemnify, and hold harmless Skygenic, its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, successors, and assigns from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (i) your violation of these Terms; (ii) your use of the Services; (iii) your User Contributions or Submitted Data; or (iv) your violation of any applicable law or the rights of any third party.

21. Force Majeure

Skygenic shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, internet or infrastructure outages, power failures, labour disputes, or actions of third-party service providers including cloud infrastructure providers.

22. Governing Law and Dispute Resolution

22.1 Governing Law

These Terms are governed by the laws of the Commonwealth of Massachusetts, USA, without giving effect to any choice of law or conflict of law provisions.

22.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services that cannot be resolved by good-faith negotiation within thirty (30) days shall be submitted to binding arbitration administered by JAMS (www.jamsadr.com) in Massachusetts, USA. Judgment on the award may be entered in any court of competent jurisdiction.

22.3 Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. All disputes must be brought in your individual capacity only.

22.4 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction for intellectual property violations, breach of confidentiality, or where immediate relief is required to prevent irreparable harm.

23. Waiver and Severability

No waiver by Skygenic of any term or condition shall be deemed a continuing waiver of such term or a waiver of any other term. If any provision of these Terms is held invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

24. Entire Agreement

These Terms, together with the Privacy Policy, the SRL Governance Framework, and any applicable Services Agreement or BAA, constitute the sole and entire agreement between you and Skygenic regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Services.

25. Changes to Terms and Notification

Skygenic may update these Terms at any time. Changes are effective immediately upon posting. For material changes, Skygenic will: (i) update the effective date; (ii) post a notice on the website; and (iii) display a notification banner at registered users' next Platform login. Continued use of the Services constitutes acceptance of revised Terms.

26. Contact

Appendix A — EU AI Act Transparency & Compliance Disclosure

This Appendix supports compliance with applicable provisions of the EU AI Act, including transparency, documentation, and human oversight requirements. It should be read in conjunction with the SRL Governance Framework Appendix A.

  • A.1 System Description: The Platform is a scientific research inference system. Not designed for clinical decision-making, legal determinations, or safety-critical applications.
  • A.2 AI System Functionality: Includes deterministic scan engines, probabilistic AI inference models, graph-based network reasoning, and semantic agent-based analysis. Outputs are probabilistic scientific inference signals.
  • A.3 Transparency: Outputs are automated, may be incomplete or biased, require expert interpretation, and system behaviour may change over time.
  • A.4 Human Oversight: No Output is intended for autonomous consequential decision-making. All Outputs require expert review and independent validation.
  • A.5 Non-Substitution: The Platform does not replace scientific judgment, clinical expertise, or regulatory decision-making.
  • A.6 Risk Classification: Not designated as a high-risk AI system under Annex III as of the effective date. Classification may change depending on deployment context and jurisdiction.
